End-User License Agreement
This End-User License Agreement (the "Agreement") is a binding contract between you (and the business you represent, together "you") and LEIRAD GROUP LLC, operator of the e1099f service available at e1099f.com (the "Service"). By creating an account, clicking to accept, connecting a third-party account such as QuickBooks Online, or otherwise using the Service, you agree to this Agreement. If you do not agree, do not use the Service. If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization.
1. License grant
Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purpose of preparing, furnishing, and electronically filing IRS information returns. The Service is licensed, not sold, and we and our licensors retain all rights not expressly granted.
2. Restrictions
You will not, and will not permit anyone to: (a) copy, modify, translate, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code, except to the extent applicable law prohibits this restriction; (c) rent, lease, sell, sublicense, or provide the Service to third parties as a service bureau except as the Service is expressly designed to allow; (d) circumvent or disable any security, authentication, or usage-metering feature; (e) access the Service or another user's data without authorization, or access any account, data, or QuickBooks company you are not authorized to access; (f) scrape, harvest, or use automated means to extract data except through interfaces we provide; (g) use the Service to file fraudulent, unlawful, or knowingly inaccurate returns; or (h) use the Service in violation of any applicable law or the terms of any connected third-party service.
3. The Service; not a government agency; not professional advice
e1099f is software that helps you prepare and electronically transmit IRS information returns (currently Forms 1099-NEC, 1099-MISC, 1099-DIV, 1099-INT, and 1099-K, and related corrections) as an IRS-authorized transmitter through the IRS Information Returns Intake System (IRIS). We are a private company. We are not the IRS, the Social Security Administration, Intuit, or any other government agency or provider, and we are not endorsed by any of them. The Service does not provide tax, legal, or accounting advice. You are the filer and remain solely responsible for determining what you must file, for which recipients, and by when, and for the accuracy and timeliness of every filing.
4. QuickBooks Online and other third-party connections
The Service can connect to your QuickBooks Online company through Intuit's API using OAuth 2.0, with your authorization, to import vendor, payment, account, and company information used to prepare your 1099 returns. By connecting:
- You authorize us to access and use the QuickBooks data described in our Privacy Policy solely to provide the Service to you.
- You represent that you are authorized to grant that access for the connected company.
- Your use of QuickBooks Online and other Intuit products is governed by your own separate agreement(s) with Intuit. We are not responsible for Intuit's products, availability, or data.
- We are an independent third-party application. e1099f is not affiliated with, sponsored by, or endorsed by Intuit Inc., and "QuickBooks" is a trademark of Intuit Inc.
- You may disconnect QuickBooks at any time from the integrations page within the Service. Disconnecting revokes our access tokens with Intuit. Handling of data already imported is described in our Privacy Policy.
- Intuit Inc. is an intended third-party beneficiary of this Section 4 and of your representations regarding the use of Intuit data.
5. Your data and responsibilities
As between you and us, you own the data you submit or authorize us to import ("Your Data"). You grant us a limited license to host, process, transmit, and otherwise use Your Data solely to provide and support the Service and as described in our Privacy Policy. You are responsible for: providing accurate payer, recipient, Taxpayer Identification Number, and amount data; having authority to file on behalf of each payer and to furnish recipient copies; reviewing every form before payment and transmission; and safeguarding your account credentials. You are responsible for all activity under your account.
6. Fees and payment
Fees are presented in your cart before checkout and on our Pricing page, and are processed by our payment provider. Except as stated in our Refund Policy, fees are non-refundable once a return has been transmitted.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual-property laws. Except for the license in Section 1, this Agreement grants you no rights in the Service.
8. Confidentiality and security
We protect Your Data using the safeguards described in our Security page and Privacy Policy, including encryption in transit (TLS 1.2 or higher) and encryption of sensitive data at rest. No method of transmission or storage is perfectly secure, and you are responsible for keeping your credentials confidential.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS, OR THAT ANY FILING WILL BE ACCEPTED BY THE IRS OR ANY OTHER AGENCY.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID FOR THE AFFECTED ORDER. WE ARE NOT LIABLE FOR IRS OR STATE PENALTIES RESULTING FROM INACCURATE DATA YOU SUPPLIED OR FROM FILINGS SUBMITTED AFTER AN APPLICABLE DEADLINE.
11. Indemnification
You will indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Data, your use of the Service, your violation of this Agreement, or your violation of any law or third-party right, including the terms of any connected service.
12. Term and termination
This Agreement applies while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach this Agreement or to comply with law. On termination we will, on request and subject to our legal and recordkeeping obligations, delete or de-identify Your Data as described in our Privacy Policy. Sections that by their nature should survive (including Sections 5–11 and 13) survive termination.
13. Changes; governing law; contact
We may update this Agreement; material changes will be posted here with a new "Last updated" date and, where appropriate, communicated to you. Your continued use after changes take effect constitutes acceptance. This Agreement is governed by the laws of the United States and the State of Florida, without regard to conflict-of-laws principles, and the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over any dispute.
